Wholesale Sales Terms & Agreement

Parties

This agreement is between NOWHOW — Inh. Masafumi Miyasaka, Büschingstr. 3, 10249 Berlin, Germany (hereafter "NOWHOW") and the Buyer placing the order (hereafter "Buyer"). By submitting an order through any NOWHOW channel — the Buyers Hub, email, or printed form — the Buyer accepts the terms set out below.

Order Acceptance

An order is accepted upon NOWHOW's issuance of an Order Confirmation (OC). Pricing, lead time, and product specifications stated in the OC are binding for both parties.

Pricing & Payment

Prices are quoted in EUR (€), Ex-Works Berlin. The Buyer shall pay 50% deposit within 14 days of the Deposit Invoice (DI), and the remaining 50% prior to shipment upon receipt of the Final Invoice (FI). All bank charges are borne by the Buyer.

Title & Risk

Title to the goods passes to the Buyer upon full payment. Risk of loss or damage in transit transfers to the Buyer when the goods are handed to the carrier (EXW Incoterms 2020).

Cancellations & Returns

Because each piece is made to order, we can't accept cancellations once production has started. If something arrives damaged or wrong, please write to us within seven (7) days of receiving the goods. If you find a hidden defect later, let us know as soon as you discover it. Leather has natural variation in texture and color — that's part of the material, not a defect. We may update designs, materials, and pricing for future seasons. Items already confirmed by an OC will be delivered as specified there.

Repair Warranty

NOWHOW is committed to keeping each piece in service for life. For the first five (5) years from delivery, repair is provided at no charge, including manufacturing defects. Beyond five (5) years, repairs continue at cost — NOWHOW will send an estimate before any work begins. Shipping costs to and from NOWHOW's atelier are the Buyer's (or end customer's) responsibility.

Intellectual Property

All NOWHOW visual and written content — designs, photography, logos, and brand identity — is the intellectual property of NOWHOW and our creative collaborators. It may not be reproduced, modified, or used for commercial purposes outside the buyer-seller relationship without prior written consent from NOWHOW. Official image assets are available upon request — write to press@nowhowstudio.com.

Confidentiality

Pricing, terms, and documents shared between the parties are confidential and shall not be disclosed to third parties without written consent.

Non-Exclusivity

This agreement is non-exclusive. Either party may revisit territory or distribution arrangements by written agreement.

Liability

If something we did causes you loss, we will make it right — but our total responsibility for any order is capped at the value of your confirmed order. German law applies where it overrides this cap (for instance, in cases of injury, intent or gross negligence, or product liability).

When Things Go Wrong Beyond Our Control

If a major disruption beyond either side's reasonable control delays an order — pandemic, war, infrastructure failure, anything of that scale — we will suspend the order and keep you informed. If it goes beyond sixty (60) days, either side can step away; we will refund your deposit minus what we have already spent specifically for your order.

Governing Law & Jurisdiction

This agreement is governed by the laws of Germany.

The competent courts in Berlin shall have exclusive jurisdiction over any disputes arising from this agreement, to the extent permitted by mandatory law.
